Terms and Conditions for Contract
Please carefully read these "Terms and Conditions for Contract" and our Legal Notice, Privacy Policy and Cookies Policy.
These Terms and Conditions of Contract, together with the Legal Notice, Privacy Policy and Cookies Policy comprise the contract between Telefónica Educación Digital, S.L.U. (hereinafter, "TED")and you (the "User").
Purpose
These Terms and Conditions for Contract govern the User's access and use of the online services for the SIELE assessment and certification for Spanish language proficiency (hereinafter, the "SIELE Services") through the SIELE platform located on www.siele.org (hereinafter, the "Website") jointly owned by the Cervantes Institute, the National Autonomous University of Mexico, the University of Salamanca and the University of Buenos Aires (hereinafter, the "INSTITUTIONS"), whose intellectual and industrial property exploitation and commercialization rights are assigned to TED.
TED, in compliance with Spanish Law 34/2002, from July 11th, for Information Society Services and Electronic Commerce, informs the User that the company responsible for the SIELE Services offered via the Website is:

These Terms and Conditions for Contract are available for the User in the languages available on the Website. The User may configure the Website and select the language he/she prefers on the Website.
SIELE Services
The SIELE Services are modular assessment services that provide the User with the ability to sit for a complete exam, composed of four tests (referred to as the, "SIELE Global") or different independent exam modules, each one composed of one or two tests (referred to as an "Independent Exam Modules").
The SIELE Global exam consists of 4 tests that correspond with the four communicative activities of the language: Reading Comprehension, Listening Comprehension, Written Expression and Interaction, and Spoken Expression and Interaction.
The SIELE independent modalities arise from four possible combinations of the tests that make up the SIELE Global exam.
The User must reserve, via the Website, a date to sit for the Global SIELE or the independent Modules at one of the authorized examination centers identified on the Website (hereinafter, the "authorized examination center"). The User may select the Global SIELE or independent Modules that he or she wishes to complete, and the country, and view the authorized examination centers, their locations, and hours of operation. To be able to access specific areas of the Website, and specifically to be able to make a reservation, the User must first register and create a personal account, in accordance with the Legal Notice (hereinafter, a "SIELE Account").To find out about the procedure to open your SIELE Account, consult the section registration System on the SIELE Platform in the Legal Notice.

Reserving the Right to Sit For a Global SIELE or Independent Exam Modules
Once the User has registered on the Website and has a SIELE Account, the User may make a reservation to sit for the Global SIELE or independent Modules at an authorized examination center chosen on the Website (hereinafter, a "Reservation").
To complete a Reservation, the User must fill out the required fields. The User is required to complete each field on the form with an asterisk, including.
- Fields relating to the authorized examination center to sit for the Global SIELE or the Exam Modules chosen (Name; Address; Province/State/Country; and ZIP Code); ;
- Fields relating to the Global SIELE or specific independent Modules to be sat for; and;
- Fields relating to the Global SIELE or chosen independent Modules session (day, month and time of the session.
Once the User has completed the required fields, the User may view his/her Reservation information in the User's SIELE Account. Depending on the independent Modules or Global SIELE selected and the authorized examination center, dates, and times prices may vary. For this reason, carefully review the characteristics of the Global SIELE or independent Modules that you wish to reserve, as well as the information related to the selected authorized examination center.
Once the required information is entered, the User may finalize the reservation by paying the required amount.
Pricing
Pricing and Payment:
The price of sitting for each Global SIELE or independent Modules is indicated on the Website.
The price will depend on TED sales policies in each of the countries where SIELE Services are available to Users and, thus, the possibility of sitting the Global SIELE or the different independent Modules may vary. Users may review the price for sitting for a Global SIELE or independent Modules after selecting the country and Global SIELE or Exam Modules the User wishes to sit for.
Before paying to sit for a Global SIELE or independent Modules, please ensure that all the information and the amounts due are correct for the Global SIELE or independent Modules that you wish to sit for.
The User understands and agrees that the Exam price may vary according to the selected country and independent Modules or Global SIELE, and, likewise, that it may include different amounts, due to special offers and/or discounts that may be applicable.
Applicable promotional offers and/or discounts will be appropriately identified as such and will display the initial price and the offer price, or the final price and the discount percentage over the normal rate.
The User will not be entitled to receive a partial refund or credit if a special offer or discount is later available
Payment:
PayPal® — The Website currently only permits payment via PayPal.
To complete a reservation, the User will be directed to PayPal®'s website to complete the payment. In addition to being responsible for payment to PayPal, the User is solely responsible for any fees charged by PayPal® in connection with the User's payment to TED.
The User understands and agrees to receive an electronic receipt for the amount paid to sit for the Global SIELE or independent Modules. The electronic receipt will be provided in a PDF format, and will be available to the User in the My page section of the Website. Similarly, the User can obtain a paper copy of the receipt by contacting us free of charge via the following link: http://siele.org/contacto.
For more information regarding electronic receipts and how to receive a paper copy, please send an email to candidatos@siele.org indicating "RECEIPT" in the subject line and indicating in the body of the message your identification information and the reservation ID reference, as discussed below.
The User may print a receipt that accredits the User the right to sit for the Global SIELE or independent Modules. You may print your receipt two ways: (1) at the end of the sales process, by clicking on the Print button that will appear on the last screen that displays your receipt details; or (2) from the My page section on the Website. The User will also find a link to the My page section in their reservation/order confirmation email, where the User will have access to the documentation associated with each of the transactions made.
Server Security:
The data from all Reservations made via the Website are protected through our SIELE secure server (SSL). We work to ensure that your information is completely protected and your Reservations are secure.
The Website uses highly advanced technology to maintain elevated security levels. Our SIELE secure server (SSL) encrypts all personal information you provide (name, address, etc.) to process your Reservations.
Reservation Confirmation
Once the User has paid for the Global SIELE or independent Modules, the User will receive an email within a period of 24 hours confirming that the Reservation has been made correctly (the "Reservation Confirmation Email"). The Reservation Confirmation Email will be sent to the email addressed the User provided in the User's SIELE Account. The User is solely responsible for keeping his/her SIELE Account up to date with accurate information.
The Reservation Confirmation Email will include the following information:
- The User's name and last names.
- The User's valid ID document number.
- The User's full address (address, ZIP code, city and country).
- Name of the chosen authorized examination center.
- The full address of the authorized examination center (address, ZIP code, city and country).
- Global SIELE or independent Modules requested.
- Session time and time of exam start, where appropriate.
- Reservation reference.
- Access via a link to the Terms and Conditions for Contract applicable to the Reservation, in a downloadable format for the User.
Right to Cancel Reservation and limited Fee Refund
Within 14 Calendar Days of PaymentThe User's right to cancel a Reservation and obtain a refund is limited. The User shall have the right to cancel his/her Reservation so long as it is canceled within fourteen (14) calendar days from the day the User received the Reservation confirmation. In order to be eligible for a full refund, the User must exercise his or her right to cancel a reservation by sending a request by email to candidatos@siele.org indicating "CANCELLATION" in the subject line. The body of the message must include the User's name, address, and phone number and Reservation ID reference from the Reservation Confirmation Email. The contact information provided by the User must match the SIELE Account associated with the email address from which the request is sent.
TED will confirm the cancellation via an email sent to the email address account the User provided in his/her SIELE Account.
If a User timely exercises his/her right to cancel a Reservation, TED will refund the full amount paid by the User for the canceled Reservation within fourteen (14) calendar days after receiving a valid request. TED will use the same payment method the User utilized to make the payment for the refund, unless another method is expressly agreed upon by both TED and the User.
The User may not make another Reservation for the same Global SIELE or independent Modules that was canceled, until 15 calendar days have passed since TED's receipt of a request to cancel the User's Reservation.
After 15 Calendar Days of Payment, the User will not be entitled to a refund of any amount paid for a Reservation if the request is made on or after fifteen (15) calendar days after the User paid for the Reservation and received the Reservation confirmation.
If the User has any questions regarding TED's Reservation cancelation policy, please contact our User Support Service at email candidatos@siele.org indicating "CANCELLATION" in the subject line as well as your identification and reservation details.
Right to Refuse Refund
TED reserves the right to refuse to refund monies paid for a Reservation if it, in its sole discretion, suspects fraud.
No Right to Assign SIELE Account or Reservation
The User shall have no right to assign his/her SIELE Account, or any reservation made using his/her SIELE Account, to anyone.
Sitting for the Global SIELE or independent Modules
The User may sit the Global SIELE or independent Modules on the date, at the time, and at the Authorized Center he or she has selected in the Reservation, as reflected on the Reservation Confirmation Email.
The User sitting for a Global SIELE or independent Modules shall do so in accordance with the Reservation Confirmation Email and User Action Policy set forth below.
The User's failure to adhere to the User Action Policy while sitting for a Global SIELE or independent Modules may result in the immediate disqualification of the User without the right to refund.
User Action Policy:
- The User must be present at the authorized examination center on the date of and 15 minutes before the time set forth in the his/her Reservation Confirmation Email.
- The User must confirm his/her identity by presenting the official identification document used to make the Reservation on the Website.
- The User must have (or bring written down) their Website access details, which are essential for accessing the computer tool whereon the Global SIELE or independent Modules shall be performed.
- The User will not be able to take into the exam room any of the following: books, paper, cell phones, tablet, computer or other electronic device, including, but not limited to, a watch, and TED reserves the right to require the User to turn over any inappropriate objects or materials it discovers while the User is sitting for a Global SIELE or independent Modules
- The User, under no circumstances, will be permitted to use electronic devices (phones, tablets, watch, etc.) while sitting for the exam.
- The User must follow the instructions of the support personnel at the authorized examination center at all times, and behave properly at all times, including, but not limited to, not speaking, bothering, or interrupting other Users.
- Likewise, the User is forbidden to look at, or appear to be looking at, the exam of another User.
- Improper behavior by a User, including, but not limited to, failure to comply with User Action Policy, may result in the User's expulsion from the Global SIELE or independent Modules without a the right to receive a refund of any monies paid to sit for the Global SIELE or independent Modules.
Scoring
The Written Expression and Interaction and Spoken Expression and Interaction tests will be scored by qualified and accredited scorers, based on the User's performance.
In contrast, the Reading Comprehension and Listening Comprehension tests are automatically scored by the SIELE computer system.
The User's scores for the Global SIELE or independent Modules will be available within fifteen (15) business days (according to the official working calendar of the selected authorized examination center) from the date the User sits for the Global SIELE or independent Modules. The User may view his/her score on the User's SIELE Account once they have received an email confirming that the User's scores are available.
If the User receives the required scores on a Global SIELE, he/she will receive an accreditation certificate of Spanish language proficiency (hereinafter, the "Certificate") that awards a score for each of the scored linguistic competencies within said Global SIELE as earned while sitting for in the different Tests, in addition to a performance report for each Test.
The User will not receive a Certificate for any of the independent Modules. The User will receive a performance report for those competencies associated with the Tests included in the independent Modules.

Global SIELE or Independent Modules Review
The User shall have the right to one (1) review of the score obtained for each Written Expression and Interaction and Spoken Expression and Interaction Test. The User may request a review by submitting a request and paying the required fee through the My page section of the Website.
The price and deadline to request a score review for each Test shall be indicated on the Website for each User.
Under no circumstances shall the deadline to request a score review be more than seven (7) calendar days from the date the User is sent via email his/her score on the Global SIELE or independent Modules.
Téngase en cuenta, tal y como se indica en la sección Calificación del SIELE Global o Modalidad de Examen independiente de los presentes Términos y Condiciones de Contratación, que el plazo máximo para la obtención de la calificación correspondiente al SIELE Global o Modalidad de Examen realizado será de 15 días laborales (según calendario laboral oficial del centro examinador autorizado seleccionado), desde la fecha en que el Usuario hubiera realizado el SIELE Global o Modalidad de Examen independiente.
When the exam review is requested, the candidate accepts the score obtained in such review as the final grade, the score obtained in the first qualification becomes void.
Change of Address
The User is solely responsible for providing TED with accurate information and for keeping the information in the User's SIELE Account current. TED is not responsible if it sends information to the User and the User does not receive it (or someone else receives it) if it is as a result of the User's failure to keep his/her SIELE Account current. Any information sent to the User by TED is deemed received when transmitted to the address in the User's SIELE Account.
Suspicious Activity on the User's SIELE Account
TED reserves the right in its sole discretion to suspend or terminate the User's SIELE Account with or without notice if TED suspects that the User has engaged in misconduct or violated the Terms and Conditions of Contract or any other term or condition governing the User's SIELE Account, or the User's SIELE Account has been compromised.
Communications
TED may permit the User to submit content, send emails and other communications, and provide other information for publication or distribution to third parties (collectively, "User Content"). Any User Content must not be illegal, threatening, obscene, racist, defamatory, libelous, pornographic, infringing of intellectual property rights, promoting of illegal activity or harm to groups and/or individuals, invasive of privacy, purposely false or otherwise injurious to third parties, or objectionable and must not consist of or contain software, computer viruses, commercial solicitation or material that encourages participation in commercial activity, political campaigning, chain letters, mass mailings, or any form of "spam", all as determined by TED in its sole and absolute discretion. If a User submits User Content, and unless TED indicates otherwise, the User grants TED a nonexclusive, perpetual, royalty-free, irrevocable, and fully sublicensable (through multiple tiers) right to use, modify, reproduce, adapt, translate, publish, create derivative works from, distribute, display, and otherwise exploit such User Content throughout the world in any media and for any purpose, including without limitation, all purposes of trade. Further, the User hereby waives all moral rights he/she may have in the User Content in favor of TED, and those authorized by TED. TED takes no responsibility and assumes no liability for any User Content submitted by the User. TED reserves the right to suspend or terminate the User's SIELE Account in the event of any misconduct, which includes submitting inappropriate User Content.
Limitation of Liability
To the greatest extent permitted by the applicable law, in no event shall ted, its affiliates or any of their respective directors, officers, employees, agents, or content or service providers be liable for any indirect, special, incidental, consequential, exemplary or punitive damages arising from or directly or indirectly related to the use of, or the inability to use, the website, siele services, or the content, materials and function related thereto, including, without limitation, loss of revenue, or anticipated profits, or lost business, data or sales, or cost of substitute services, even if ted or its representatives have been advised of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability so some of the above limitations may not apply to you. in no event shall the total liability of ted to you for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this terms and conditions of contract, ted' services or your use of the website exceed, in the aggregate, any monies paid by you to ted.
Disclaimer of Warranties
To the greatest extent permitted by applicable law, the user understands and agrees that:
The website, including, without limitation, all content, function, products, materials and services and the siele services are provided "as is," without warranty of any kind, either express or implied, including, without limitation, any warranty for information, data, data processing services or uninterrupted access, any warranties concerning the availability, accuracy, completeness, usefulness, or content of information, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose. TED does not warrant that the site or the function, content or services made available thereby will be timely, secure, uninterrupted or error free, or that defects will be corrected. TED makes no warranty that the sites will meet user's expectations or requirements. No advice, results or information, or materials whether oral or written, obtained by you through the website or siele services shall create any warranty not expressly made herein. If you are dissatisfied with the website or the siele services, your sole remedy is to discontinue using the website or the siele services.
Any material downloaded or otherwise obtained through the use of the website is done at the user's own discretion and risk and the user will be solely responsible for any damage that results from the download of any such material.
TED does not endorse, warrant or guarantee any products or services offered or provided by or on behalf of third parties on or through the website. TED is not a party to, and does not monitor, any transaction between the user and third parties without the direct involvement of ted, including, but not limited to, the user's use of paypal® and the paypal® website.
Any services described on the website are offered in jurisdictions where they may be legally offered. The content on the website is not an offer or solicitation to anyone in any jurisdiction in which an offer or solicitation cannot legally be made, or to any person to whom it is unlawful to make a solicitation.
INDEMNITY
Except as is otherwise prohibited by law, the User agrees to defend, indemnify and hold TED, its directors, officers, employees, agents and affiliates harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys' fees, in any way arising from, related to or in connection with the
User's relationship with TED and/or the User's use of the Website and/or SIELE Services, the User's violation of the Terms and Conditions of Contract or User Action Policy, or by posting or transmission any materials on or through the Website, including, but not limited to, any third party claim that any information or materials the User provides infringes upon any third party proprietary right.
U.S. Residents: Dispute Resolution By Binding Arbitration; Jury Trial Waiver; Class Action Waiver
Please read this provision carefully. it provides that any dispute may be resolved by binding arbitration. arbitration replaces the right to go to court, including the right to a jury and the right to participate in a class action or similar proceeding. In arbitration, a dispute is resolved by an arbitrator instead of a judge or jury. arbitration procedures are simpler and more limited than court procedures. by using siele services, you agree to be bound by this provision.
For any and all controversies, disputes, demands, claims, or causes of action between you and us (including the interpretation and scope of this provision and the arbitrability of the controversy, dispute, demand, claim, or cause of action) relating to the Terms and Conditions for Contract (as well as any related or prior agreement that you may have had with us), the User and we agree to try in good faith to attempt to resolve the dispute by mediation administered by the American Arbitration Association ("AAA") under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure.
In the event the parties are unable to resolve the dispute through mediation, the parties agree that the Dispute shall be resolved exclusively through binding and confidential arbitration. The arbitration will take place in the federal judicial district of the User's residence. As used in this Section, "we" and "us" mean Telefónica Educación Digital, S.L.U., the Cervantes Institute, the National Autonomous University of Mexico and the University of Salamanca and their subsidiaries, affiliates, predecessors, successors, and assigns and all of their respective employees, officers, directors, agents, and representatives. In addition, "we" and "us" include any third party providing any product, service, or benefit in connection with your patronage of www.siele.org, SIELE Services, or these Terms and Conditions for Contract (as well as any related or prior agreement that the User may have had with us) if such third party is named as a co-party with us in any controversy, dispute, demand, claim, or cause of action subject to this provision.
Arbitration will be subject to the Federal Arbitration Act (Title 9, U.S. Code), and not any state arbitration law, notwithstanding any choice of law provision in the Terms and Conditions for Contract. The arbitration will be conducted before one arbitrator from the AAA that is a licensed attorney with expertise in the substantive law applicable to the subject matter of the dispute. The arbitration will be governed by the AAA's rules and procedures then in effect and, if the arbitrator deems them applicable, the Supplementary Procedures for Consumer Related Disputes (collectively, the "Rules and Procedures").
The User should review this provision carefully.,The User is GIVING UP HIS/HER RIGHT TO GO TO COURT to assert or defend the User's rights EXCEPT for matters that the User files in small claims court in the state or municipality of the User's residence within the jurisdictional limits of the small claims court and as long as such matter is only pending in that court. Additionally, notwithstanding this provision, either party may seek emergency equitable relief in federal court if it has jurisdiction or, if it does not, in a state court located in the federal judicial district of your residence in order to maintain the status quo pending arbitration, and each party hereby agrees to submit to the exclusive personal jurisdiction of the courts located within the federal judicial district of your residence for such purpose. A request for interim measures will not be deemed a waiver of the obligation to arbitrate.
The User's rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury. The User is entitled to a FAIR HEARING, BUT the arbitration procedures may be SIMPLER AND MORE LIMITED THAN RULES APPLICABLE IN COURT. Arbitrators' decisions are as enforceable as any court order and are subject to VERY LIMITED REVIEW BY A COURT.
The User and we must abide by the following rules: (A) ANY CLAIMS BROUGHT BY THE USER OR US MUST BE BROUGHT IN THE PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING; (B) THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING, AND MAY NOT AWARD CLASS-WIDE RELIEF; (c) in the event that the User is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, we will pay as much of the User's filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive as compared to the cost of litigation; (d) we also reserve the right, in our sole and exclusive discretion, to assume responsibility for any or all of the costs of the arbitration; (e) the arbitrator will honor claims of privilege and privacy recognized at law; (f) the arbitration proceedings and arbitration award shall be maintained by the parties as strictly confidential, except as is otherwise required by court order or as is necessary to confirm, vacate or enforce the award and for disclosure in confidence to the parties' respective attorneys, tax advisors and senior management and to family members of a party who is an individual; (g) subject to the limitation of liability/disclaimer of warranty provision of the Terms and Conditions for Contract, the arbitrator may award any individual relief or individual remedies that are expressly permitted by applicable law; and (h) each party will pay its own attorneys' fees and expenses, unless there is a statutory provision that requires the prevailing party to be paid its fees and litigation expenses and the arbitrator awards such attorneys' fees and expenses to the prevailing party, and, in such instance, the fees and costs awarded will be determined by the applicable law. The arbitrator is not authorized to award punitive or other damages not measured by the prevailing party's actual damages
This provision will survive termination of the Terms and Conditions for Contract. With the exception of subpart prohibiting arbitration on a class or collective basis, if any part of this arbitration provision is deemed to be invalid, unenforceable, or illegal, or otherwise conflicts with the Rules and Procedures, then the balance of this arbitration provision will remain in effect and will be construed in accordance with its terms as if the invalid, unenforceable, illegal, or conflicting part was not contained herein. If for any reason a claim proceeds in court rather than in arbitration, the dispute will be exclusively brought in federal court if it has jurisdiction or, if it does not, in a state court located in the federal judicial district of your residence.
If you wish to opt out of this arbitration provision, you must notify us of your election in writing within 30 days of the (1) effective date of the Terms and Conditions for Contract or (2) the effective date of the Terms and Conditions for Contract after a material change is made to them, by sending a written notice to us by certified mail at the following address: Telefónica Educación Digital, S.L.U., 140 E 45th St Ste 17A New York, NY 10017 (United States of America), Attn: Arbitration Opt-Out. The User's opt-out notice must include the User's name, address, phone number, and email address.

Choice of Law
Legislation applicable to the present Terms and Conditions for Contract shall be the legislation of the place where the SIELE Service is being provided to the User.
Entire Agreement
The Terms and Conditions for Contract constitutes the entire agreement between the User and TED with respect to the subject matter hereof and supersede all previous written or oral agreements between the User and TED with respect to such subject matter.
Changes to the Terms and Conditions for Contract
TED reserves the right to, at any time and in its sole discretion, change or discontinue any aspect or feature of the Website, including, without limitation, the content, hours of availability, and equipment needed for access to or use of a Website. In addition, TED reserves the right, at any time and in its sole discretion, to restrict, suspend, change or modify any element of the Terms and Conditions for Contract, including without limitation to impose new conditions. In the event the Terms and Conditions for Contract, or any aspect of the Terms and Conditions for Contract is restricted, suspended or changed, TED will provide the User with notice at least 30 days before the amendment comes into effect, by posting the new Terms and Conditions for Contract on the Website, and identifying the date on which the change will be effective. Any use of a Website by the User after such effective date shall be deemed to constitute the User's acceptance of the new Terms and Conditions for Contract.
Many if not most communications between the User and TED will be sent and received electronically. The User agrees that all agreements, notices, disclosures and other communications exchanged between the User and TED electronically shall satisfy any legal requirements that such communications be in writing.
No Waiver
No waiver by either the User or TED of any breach or default of the Terms and Conditions for Contract shall be deemed to be a waiver of any preceding or subsequent breach or default.
Severability and Survival
If any provision of the Terms and Conditions for Contract is held invalid or unenforceable by any court or arbitrator having competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of the Terms and Conditions for Contract shall continue in full force and effect. The Terms and Conditions for Contract is binding upon the User and the User's heirs, executors, beneficiaries, successors and assigns and the User may not assign the Terms and Conditions for Contract to any other party without TED's prior express written consent, which consent may be withheld in TED's sole and absolute discretion.
